Welcome to ART Network (“the Platform”). By accessing or using the Platform, you agree to comply with these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must discontinue use of the Platform.

1. Acceptance of Terms

By using the Platform, you acknowledge and agree that you have read, understood, and accepted these Terms, including any updates made from time to time. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

2. Use of the Platform

You may use the Platform solely for lawful purposes and in accordance with these Terms. You agree to:

• Use the Platform only for collaborative, scientific, or educational purposes.
• Respect the intellectual property (“IP”) rights of others.
• Abide by all applicable laws, regulations, and guidelines when using the Platform.

3. Intellectual Property (IP) and Confidentiality

3.1 User-Submitted Content

You retain ownership of any IP or data you submit to the Platform. However, by submitting content, you grant ART Network permission to host, store, and display the content solely for purposes of operating the Platform.

3.2 IP Disclosure Risks

ART Network does not provide any warranty or guarantee regarding the confidentiality, security, or non-disclosure of IP shared on the Platform. By using the Platform, you acknowledge and accept the following risks:

• Any information, data, or materials shared on the Platform may be accessed by other users.
• While we employ reasonable security measures, we cannot guarantee protection against unauthorized access, data breaches, or misuse by other users.

3.3 User Responsibility

You are solely responsible for taking precautions to safeguard your IP. Such precautions may include, but are not limited to:

• Using non-disclosure agreements (NDAs) with collaborators before sharing sensitive information.
• Avoiding the upload of highly confidential or proprietary information to the Platform.
• Protecting files with encryption or access restrictions when possible.

4. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

ART NETWORK DOES NOT WARRANT THAT:

• THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
• THE PLATFORM WILL BE AVAILABLE WITHOUT INTERRUPTION, TIMELY, OR ERROR-FREE.
• THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE.
• ANY ISSUES OR ERRORS WILL BE CORRECTED.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ART NETWORK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR IP ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE PLATFORM.

YOU AGREE THAT THE TOTAL LIABILITY OF ART Network, IF ANY, SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO USE THE PLATFORM (IF APPLICABLE).

6. Security and Passwords

You are responsible for maintaining the confidentiality of your account credentials and passwords. Sharing account access with others is strictly prohibited. You agree to notify us immediately of any unauthorized access or use of your account.

7. Indemnification

You agree to indemnify, defend, and hold harmless ART Network from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of any IP or other rights.

8. Modifications and Termination

ART Network reserves the right to modify, suspend, or terminate access to the Platform at any time and for any reason, including but not limited to violations of these Terms. We may update these Terms from time to time, and it is your responsibility to review them periodically.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the state of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Essex County, New Jersey.
